How we're governed

The senior decision-makers responsible for our organisation’s strategic direction. Their responsibilities include:

• approve our Annual Strategic Business Plan and monitor our performance against it 
• ensure high standards of corporate governance and personal conduct
• approve our annual budget and capital expenditure budgets
• approve large capital expenditure and proposals over £10m
• approve key strategic decisions

Provide assurance that risk management, internal control systems, corporate governance processes and financial statements are effective and reliable. They also oversee internal and external organisation audits.

Ensure our customers receive a value service by overseeing operational and organisational delivery priorities. They also ensure we follow our agreed Strategic Business Plan.

Ensure we’ve a clear and transparent renumeration policy. One that attracts and retains high-calibre colleagues while aligning with our strategic goals and values. They also oversee Board appointments, making sure the skills match the needs of our organisation, shareholders and customers. 

Support the delivery of our customer plans to help transform the NHS estate. To get, grow, keep great people to support our culture of an engaged, enabled high-performing team, placing the customer at the heart of everything we do.

Review our medium and long-term goals, ensuring they stay relevant by monitoring both internal and external factors. They also provide assurance that all material and strategic investment case decisions across our Delivery and Advisory functions, and Business Operations, optimise value for our estate.
